Terms of Service

Article 1 (Application)

1. These Terms apply to all relationships between the App's provider (hereinafter "we") and users regarding use of the App.
2. We may establish additional rules for use of the App (hereinafter "Individual Provisions"), which shall form part of these Terms.
3. In the event of any conflict between these Terms and Individual Provisions, the Individual Provisions shall prevail.

Article 2 (Service Description)

The App is a task and project management application providing the following features:

• Task management: Create, edit, delete, and manage task status
• Project management: Create, manage, and track project progress
• List feature: Group and organize tasks
• Journal: Create and manage diary entries and notes
• Timer: Measure and record work time
• Wiki: Create and manage a knowledge base
• Statistics: View statistics on tasks and projects
• Calendar: Manage and view schedules

Article 3 (Registration)

1. You can create an account in the following ways:
   • Registration with email address and password
   • Anonymous account (temporary use)
2. You are obligated to provide accurate and up-to-date information at the time of registration.
3. You are responsible for managing your login credentials (password, etc.) appropriately.
4. You may not transfer or lend your account to any third party under any circumstances.
5. We may refuse registration if there is any false, incorrect, or missing information.

Article 4 (Account Management)

1. You are responsible for managing your account information appropriately.
2. If you discover that your account information has been stolen or used by a third party, you must immediately notify us and follow our instructions.
3. You are responsible for any damages arising from inadequate management of account information, errors in use, or use by third parties.

Article 5 (User Content)

1. With respect to content you post, upload, or store in the App (tasks, projects, journal entries, wiki pages, etc., hereinafter "User Content"), you represent and warrant to us that you have the legal right to submit such content and that it does not infringe the rights of any third party.
2. Copyright in User Content belongs to you. However, we may use User Content for the purposes of providing, improving, and promoting the App's services.
3. You grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, create derivative works of, display, and perform your User Content, to the extent necessary for providing, operating, and improving the App's services.
4. We are not obligated to monitor User Content, but may delete User Content at our discretion if it is suspected of violating applicable law or these Terms.

Article 6 (Prohibited Activities)

You must not engage in any of the following activities when using the App:

1. Activities that violate laws or public order and morals
2. Activities related to criminal acts
3. Activities that infringe on the intellectual property rights, portrait rights, privacy, honor, or other rights or interests of us, other users, or third parties
4. Activities that disrupt or interfere with the servers or network functions of the App
5. Activities that may interfere with the operation of the App's services
6. Unauthorized access or attempts thereof
7. Collecting or accumulating personal information of other users
8. Using the App for fraudulent purposes
9. Activities that cause disadvantage, damage, or discomfort to other users or third parties
10. Impersonating other users
11. Commercial activities not authorized by us
12. Reverse engineering, decompiling, or disassembling the App
13. Activities that violate anti-social forces regulations
14. Religious activities or solicitation for religious groups
15. Any other activities we deem inappropriate

Article 7 (Suspension of Service)

1. We may suspend or interrupt all or part of the App without prior notice to users if we determine that any of the following circumstances exist:
   • Maintenance, inspection, or updates to computer systems related to the App
   • Force majeure events such as earthquakes, lightning, fire, power outages, or natural disasters making it difficult to provide the App
   • Stoppage of computers or communication lines due to accidents
   • Any other circumstance where we determine it is difficult to provide the App
2. We shall not be liable for any disadvantage or damage suffered by users or third parties due to suspension or interruption of the App.

Article 8 (Restrictions and Account Deletion)

1. We may, without prior notice, restrict a user's use of all or part of the App or delete their registration if we determine that the user falls under any of the following:
   • Violation of any provision of these Terms
   • Discovery of false information in the registration details
   • Failure to fulfill payment obligations (if paid plans are offered in the future)
   • No response to our communications for a certain period
   • No use of the App for a certain period since last use
   • Any other circumstance where we determine use of the App is inappropriate
2. We shall not be liable for any damages caused to users by actions taken under this Article.
3. You can delete your account at any time from the Settings screen in the App.

Article 9 (Disclaimer of Warranties)

1. We make no warranty, express or implied, that the App is free from defects (including defects in safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose, security, errors, bugs, or infringement of rights).
2. We shall not be liable for any damages arising from the App. However, this disclaimer does not apply where the contract between us and you constitutes a consumer contract under applicable consumer protection law.
3. Even in the case of the preceding proviso, we shall not be liable for damages arising from special circumstances (including cases where we or you foresaw or could have foreseen the occurrence of damages) caused by our default or tort due to negligence (excluding gross negligence).
4. We shall not be responsible for any transactions, communications, or disputes between users or between users and third parties in connection with the App.

Article 10 (Changes to Service)

We may change, add, or discontinue the content of the App with prior notice to users, and users agree to this.

Article 11 (Changes to Terms)

1. We may change these Terms at any time without notice to users when we deem it necessary.
2. If you begin using the App after changes to these Terms, you are deemed to have agreed to the revised Terms.
3. We will notify you of significant changes via in-app notifications or email.

Article 12 (Handling of Personal Information)

We handle personal information obtained through use of the App in accordance with our Privacy Policy.

Article 13 (Notices and Communications)

Notices and communications between you and us shall be made by the method we designate (in-app notifications, email, etc.). Unless you notify us of a change in your contact information using our designated method, we will treat your currently registered contact as valid and send notices to that address, which will be deemed to have reached you at the time of sending.

Article 14 (Prohibition on Transfer of Rights)

You may not transfer, assign, or use as collateral your position under the user agreement or any rights or obligations under these Terms to any third party without our prior written consent.

Article 15 (Intellectual Property)

1. All intellectual property rights related to the App, including copyrights, trademarks, and patents, belong to us or those who have licensed them to us.
2. Permission to use the App under these Terms does not constitute permission to use our intellectual property rights or those of our licensors.

Article 16 (Governing Law and Jurisdiction)

1. These Terms shall be governed by and construed in accordance with the laws of Japan.
2. Any disputes arising in connection with the App shall be subject to the exclusive jurisdiction of the court having jurisdiction over our location.
